Bidvest Group half-year results: Bidvest Bank reported as a discontinued operation

What happened
In its results for the half year ended 31 December 2025, Bidvest Group reported Bidvest Bank (along with Bidvest Life) as a discontinued operation, reflecting the bank's pending disposal. Bidvest Group's overall trading profit rose 6.9% to R6.7 billion for the half, but its commentary flagged that Bidvest Bank itself faced a challenging top-line and capital deployment environment, even as its deposit book stayed stable and regulatory ratios remained healthy.
Why it matters
This is Bidvest Group's own characterisation of trading conditions at Bidvest Bank specifically, separate from the ownership situation — it points to soft revenue growth at the bank even as its balance sheet and regulatory position remain sound. Classifying it as "discontinued" is standard accounting treatment for a business being actively sold, not a sign of winding down operations. Note that Bidvest Life is a separate insurance business also being disposed of alongside Bidvest Bank — the two are reported together in Bidvest Group's accounts but are distinct sale processes, and Bidvest Life is not part of Bidvest Bank.
Who's affected
Primarily relevant to investors and anyone assessing Bidvest Bank's financial stability; Bidvest Group's reporting did not flag any impact on customer deposits or day-to-day banking services.

Bidvest Bank sees "flurry of interest" from new buyers

What happened
Bidvest Group CEO Mpumi Madisa said the bank has relaunched the sale process for Bidvest Bank and received a "flurry of interest" from prospective buyers since the Access Bank deal collapsed, and that the group intends to accelerate the timeframe for a new transaction.
Why it matters
Bidvest Bank remains for sale, and a new buyer could still emerge, but no new transaction has been confirmed. Ownership has not changed as a result of this announcement.
Who's affected
Existing Bidvest Bank personal and business customers; no action is required while the bank continues to operate under Bidvest Group ownership.

Access Bank's acquisition of Bidvest Bank collapses

What happened
Bidvest Group announced the termination of the proposed sale of Bidvest Bank to Access Bank South Africa after the agreed long-stop date (26 January 2026) passed without certain conditions, including regulatory approvals, being met. Coverage of the collapse points to delayed or unresolved approval from Nigeria's central bank as one of the specific regulatory hurdles, on top of the general complexity of coordinating approvals across South African and Nigerian regulators for a deal of this size. Access Holdings Plc, Access Bank's parent, confirmed the collapse in a filing to the Nigerian Exchange the following day, saying the outcome reflected "the complexities and extended timelines associated with multijurisdictional regulatory and transactional processes" rather than a change in strategic intent.
Why it matters
The deal, first announced in December 2024, would have made Bidvest Bank part of Nigeria's Access Bank Group. With its collapse, Bidvest Bank remains a subsidiary of The Bidvest Group Limited, and Bidvest Group said it was already exploring options with other potential buyers. Business Day reported that Access Bank South Africa had been dealing with its own leadership turmoil in the lead-up to the collapse, including the resignation of several senior executives — additional context, alongside the regulatory hurdles, for why the deal ultimately did not close. Moody's had also flagged uncertainty over the transaction when it downgraded Bidvest Bank's ratings the previous month (see below).
Who's affected
Existing Bidvest Bank personal and business customers; the bank has stated it remains operationally stable and no changes to accounts, cards or the branch code resulted from this.

Moody's downgrades Bidvest Bank amid pending ownership change

What happened
Moody's downgraded Bidvest Bank's ratings following a review, citing the pending sale of the bank from Bidvest Group to Access Bank as a key factor. Bidvest Group's move to exit financial services was reported as part of a wider strategy to concentrate on its core, more profitable industrial and services businesses.
Why it matters
A ratings downgrade can affect the cost and terms on which a bank borrows or accesses certain markets. This downgrade was issued while the Access Bank sale was still expected to complete; it predates the deal's collapse the following month.
Who's affected
Primarily relevant to Bidvest Bank's institutional counterparties and investors rather than day-to-day retail or business banking customers.

Bidvest Group completes sale of FinGlobal to Momentum Group

What happened
As part of the same broader restructuring that put Bidvest Bank up for sale, Bidvest Group completed the sale of 100% of financial emigration specialist FinGlobal Migration Proprietary Limited to Momentum Group for R201 million, alongside a separate, smaller disposal of Bidvest Asset Management. FinGlobal had previously operated closely with Bidvest Bank's foreign exchange systems as part of the Bidvest Financial Services stable.
Why it matters
If this sale is fully reflected in current operations, FinGlobal would no longer be affiliated with Bidvest Bank in an ownership sense. However, Bidvest Bank's own website still describes FinGlobal as "our sister company" and actively promotes the partnership for financial emigration services — a discrepancy this content couldn't resolve. Either Bidvest Bank's marketing hasn't caught up with the ownership change, or some form of commercial partnership continues independently of who owns FinGlobal's equity. Confirm the current relationship directly with Bidvest Bank rather than relying on either source alone.
Who's affected
Customers who previously used the Bidvest–FinGlobal relationship for emigration-related financial services; Bidvest Bank itself continues to offer its own forex and exchange-control-related services independently of FinGlobal's new ownership.

Discrepancy noted against Bidvest Bank's own live "Financial Emigration Services" page (bidvestbank.co.za/emigration/financial-emigration-services), which still describes FinGlobal as a sister company at time of writing.

Bidvest Group agrees to sell Bidvest Bank to Access Bank South Africa

What happened
The Bidvest Group Limited entered a binding agreement to sell 100% of Bidvest Bank to Access Bank South Africa, the local subsidiary of Nigeria's Access Bank Group, for approximately R2.8 billion, with proceeds earmarked to repay Bidvest's existing debt. Bidvest Bank had first been put up for sale in September 2024 as part of a wider strategic review.
Why it matters
This transaction was later terminated in February 2026 (see above) — it never completed, so this update is retained here for context on the ongoing sale process rather than as a current ownership fact.
Who's affected
Existing Bidvest Bank personal and business customers; the transaction did not proceed, so no ownership change occurred as a result of this announcement.
